Associate Terms of Service
Last updated: November 7, 2026
Privacy: Our Privacy Policy explains how we collect, use and protect information, including data from Google and other accounts you connect. It is part of these Terms.
1. Agreement
These Terms of Service ("Terms") are an agreement between JSO Digital, the company behind Associate ("Associate," "we," "us" or "our") and the law firm or other organization that signs up for or uses the Associate service ("Customer" or "you"). By creating an account, signing an order form or using the Service, you agree to these Terms. If you accept on behalf of an organization, you confirm that you have authority to bind it.
If you and we sign an order form, proposal or statement of work that references these Terms (an "Order"), the Order controls where it conflicts with these Terms.
2. The Service
Associate is marketing software for law firms, supported by our team at JSO Digital (together, the "Service"). The Service analyzes information from accounts you connect and materials you provide, answers marketing questions, and prepares recommendations, reports and draft content. It can carry out supported changes through compatible connections, including Google Analytics, Search Console, Ads and Business Profile, with your approval. Google actions are limited to the selected property, advertising account or business location and depend on granted permissions, your Google account role and Google's API availability. Not every action is supported. Any work performed by our team, including "Work Orders," is as described in your Order.
We may improve and change the Service over time. We will not materially reduce the core functionality of a paid plan during your current billing period.
3. Accounts and connected services
- Team members. You are responsible for your team members, for keeping credentials secure, and for activity under your account. Tell us promptly about any unauthorized use.
- Connections. You may connect third-party services (such as Google, WordPress, CallRail or your intake system). You confirm that you have the right to connect them and authorize us to access them as needed to provide the Service. Your use of third-party services is governed by their own terms, and we are not responsible for them.
- Approvals. We will not publish content or change a connected account without approval from an authorized team member, except to undo a change at your request or to address an urgent security issue. Approved changes are logged and can be reversed where the connected service allows.
- Google changes. Each Google change requires review and approval of the specific request by an authorized team member. Connecting an account or turning on Allow changes does not approve an individual change. Review the selected destination, proposed content and consequences before approving. Approved advertising changes, including campaign or budget changes, may affect ad delivery and spending; charges remain governed by your Google Ads account and Google's terms. Changes are not guaranteed to be reversible.
- Authority and third-party platforms. You authorize us to act on your behalf in your connected accounts to make the changes you approve. Google, website hosts and other platforms set their own rules and may change, limit, suspend or remove your listings, ads, profiles or accounts at any time. We are not responsible for those decisions, but we will help you respond where we reasonably can.
4. Acceptable use
You will not use the Service to: violate any law or third-party right; publish false, misleading or defamatory content; post fake reviews or manipulate review platforms; access accounts you are not authorized to use; interfere with or probe the Service's security; or copy, resell or reverse engineer the Service, except as permitted by law.
5. Not legal advice; your professional responsibility
Associate is a marketing service. We do not provide legal services or legal advice, and we do not form an attorney-client relationship with you or your clients. Nothing in the Service is an opinion on whether any content or practice complies with the rules of professional conduct, attorney advertising rules or other laws.
You are solely responsible for:
- reviewing and approving all content and changes before they go live;
- ensuring that your marketing complies with the rules of professional conduct, attorney advertising rules and other laws that apply to you in each jurisdiction where you practice or advertise, including any filing, disclaimer or record-keeping requirements;
- the accuracy of facts, results, credentials and claims about your firm; and
- protecting your clients' confidential information, including by not uploading privileged or confidential client information to the Service.
The Service may flag content for your review. A flag, or the absence of one, is not a determination that content is or is not permitted.
No referral fees or fee sharing. Our fees are for software and marketing services. They are not based on any legal fee, case outcome or client you sign, you will not share legal fees with us, and we do not recommend or refer clients to you in exchange for payment.
6. AI-generated output
The Service uses artificial intelligence to analyze data and prepare recommendations, reports and draft content ("Output"). AI can produce Output that is inaccurate, incomplete or similar to content created for others. Output is a draft for your review, not a final product. You decide whether to use it, and you are responsible for the Output you approve or publish.
Search rankings, map rankings and AI search results are controlled by third parties and change frequently. Data from those sources, including rankings, visibility scores and AI answers, is an estimate at a point in time. We do not guarantee any ranking, traffic, lead, case or other result.
7. Your data
Ownership. As between you and us, you own the data you provide or connect to the Service ("Customer Data") and the content you approve for publication. You grant us a limited license to host, copy, process and display Customer Data as needed to provide, secure and support the Service, and as described in our Privacy Policy.
AI providers. We use paid commercial AI services whose terms do not use Customer inputs and outputs to train general-purpose models by default, and we do not opt Customer Data into that training. We do not use Customer Data to train general-purpose AI models. Our Privacy Policy describes what information may be sent to these providers.
Aggregated data. We may create and use aggregated and de-identified data derived from the Service, which does not identify you, your team members or your clients, to operate, measure and improve the Service and to publish industry research. Google user data is excluded from published research and remains subject to the Limited Use commitments in our Privacy Policy. We will not identify you in published research without your permission.
Google data. Our use of information received from Google APIs follows the Google API Services User Data Policy, including the Limited Use requirements, as described in our Privacy Policy.
Client information. If the Service receives information about your clients or prospective clients, for example lead records from your intake system, we will treat it as your confidential information under Section 11, use it only to provide the Service, limit access to personnel who need it, and protect it with reasonable administrative, technical and physical safeguards. Information submitted in chat, files or connected services may be processed by AI providers for your requests; the Service does not automatically remove all client or case details. Do not submit privileged or confidential client information.
Security incidents. If we confirm unauthorized access to Customer Data in our systems, we will notify you without undue delay, share what we reasonably know, and take reasonable steps to contain it.
8. Our intellectual property
We and our licensors own the Service and everything we use to provide it, including our software, agents, workflows, prompts, rules, methods, configurations, templates, analyses, benchmarks and aggregated data, and all improvements to them, whether or not developed while serving you ("Associate Technology"). You receive no rights in Associate Technology except the right to use the Service during your subscription. Configurations and learnings that the Service develops for your firm are part of Associate Technology, but they will not disclose your Customer Data to other customers.
Deliverables. Content, designs and other materials we create specifically for you, including through Work Orders, and that you approve ("Deliverables") belong to you once you have paid for them. Deliverables do not include Associate Technology. If any Associate Technology is built into a Deliverable, we grant you a perpetual, non-exclusive, royalty-free license to use it as part of that Deliverable.
If you send us feedback, we may use it without obligation to you.
9. Fees and payment
- Fees. You will pay the fees in your Order. Unless the Order says otherwise, subscriptions are billed monthly in advance and renew month to month.
- Work Orders. Work Orders included in your plan are described in your Order. Larger projects are quoted and billed separately.
- Late payment. If an invoice is overdue, we may suspend the Service after giving you notice.
- Taxes. Fees exclude taxes, which you will pay except for taxes on our income.
- Changes. We may change fees on at least 30 days' notice, effective at your next billing period.
10. Term and termination
- Cancellation. Either party may cancel a month-to-month subscription at any time, effective at the end of the current billing period. Fees already paid are not refundable, except as required by law or stated in your Order.
- For cause. Either party may terminate if the other materially breaches these Terms and does not cure the breach within 15 days of notice. We may suspend access immediately if needed to prevent harm to the Service, other customers or third parties.
- Effect. When your subscription ends, your access ends and we stop accessing your connected accounts. For 30 days afterward, on request, we will provide an export of your Customer Data in a standard format. Changes already published to your website and other accounts remain yours. We then delete Customer Data as described in our Privacy Policy.
- Survival. Sections 5 to 8, 9 (for unpaid fees) and 11 to 15 survive termination.
11. Confidentiality
Each party will protect the other's non-public business information that is marked or reasonably understood as confidential, using at least reasonable care, and use it only to perform under these Terms. This does not apply to information that is public through no fault of the recipient, already known to it, independently developed, or rightfully received from a third party. A party may disclose confidential information if required by law, after giving notice where legally allowed.
12. Disclaimers
We will provide the Service in a professional manner consistent with generally accepted industry standards. If we do not, your exclusive remedy is for us to re-perform the affected services or, if we cannot, to refund the fees you paid for them. Except for that commitment, the Service and all Output are provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all other warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title and non-infringement, and any warranty that the Service will be uninterrupted or error-free or that any Output will be accurate or produce any particular result.
13. Limitation of liability
To the fullest extent permitted by law:
- neither party will be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, cases, clients, goodwill or data, even if advised of their possibility; and
- each party's total liability arising out of or relating to these Terms will not exceed the fees paid and payable by you in the 12 months before the event giving rise to the claim.
These limits do not apply to your payment obligations, your indemnification obligations, or liability for fraud, gross negligence or willful misconduct. Our total liability for our indemnification obligations will not exceed three times the cap in item 2 above.
14. Indemnification
By us. We will defend you against any third-party claim that the Service, as provided by us, infringes that party's U.S. intellectual property rights, and pay resulting damages finally awarded or agreed in settlement. This does not cover claims arising from Customer Data, content you supplied or approved for publication, or your combination of the Service with things we did not provide.
By you. You will defend us against any third-party claim arising from Customer Data, content you approved or published, your marketing's compliance with professional conduct and advertising rules, or your breach of Section 4, and pay resulting damages finally awarded or agreed in settlement.
The indemnified party must give prompt notice of the claim, allow the indemnifying party to control the defense and settlement (no settlement may impose obligations on the indemnified party without its consent), and provide reasonable cooperation.
15. General
- Governing law and venue. These Terms are governed by California law, without regard to its conflict of law rules. The state and federal courts in Santa Barbara County, California have exclusive jurisdiction, and each party consents to them.
- Publicity. We will not use your firm's name or logo in our marketing without your permission.
- Assignment. Neither party may assign these Terms without the other's consent, except to a successor in a merger, acquisition or sale of substantially all of its relevant business or assets.
- Independent contractors. The parties are independent contractors.
- Force majeure. Neither party is liable for delays caused by events beyond its reasonable control, other than payment obligations.
- Notices. Notices to us go to hello@associate.law. Notices to you go to the account owner's email address.
- Changes to these Terms. We may update these Terms. Material changes take effect at your next billing period after at least 30 days' notice. If you do not agree to a change, you may cancel before it takes effect.
- Entire agreement. These Terms, your Order and the Privacy Policy are the entire agreement on this subject. If a provision is unenforceable, the rest remains in effect. A waiver must be in writing.
